Job Description: Legal and Company Secretary Executive
Position: Legal and Company Secretary Specialist
Experience: 3-5 Years
Location: Thane, Mumbai
Reporting to: CEO
Key Responsibilities:
Legal Responsibilities:
1. Contract Management:
- Draft, review, and negotiate contracts, agreements, and MOUs with clients, vendors,
and other stakeholders.
- Ensure compliance with applicable laws, company policies, and industry standards.
- Manage contract lifecycle, including renewals, amendments, and termination
processes.
2. Legal Advisory:
- Provide legal guidance on corporate governance, business strategies, and regulatory
compliance. Assistance to draft NDA’s and check NDA’s and contracts for various businesses
( sector agnostic)
- Analyze and mitigate legal risks in business operations and contractual arrangements.
- Handle legal disputes, claims, and litigation matters in collaboration with external
counsel if necessary.
3. Compliance:
- Monitor changes in laws and regulations relevant to the business and ensure timely
updates to company policies.
- Oversee compliance with labor laws, data protection laws, and other relevant
regulations.
Company Secretary (CS) Responsibilities:
1. Corporate Governance:
- Ensure adherence to corporate governance practices as per the Companies Act and
other regulatory requirements.
- Organize and record minutes of Board Meetings, Annual General Meetings (AGM), and
other committee meetings if need be.
- Maintain statutory registers and records of the company.
2. Regulatory Filings:
- Handle filing of statutory returns, reports, and forms with regulatory authorities like
MCA, SEBI, and other relevant bodies.
- Manage annual filings, compliance certifications, and disclosures.
3. Advisory Role:
- Advise on matters related to company law, secretarial standards, and best practices in
corporate governance.
- Support in matters related to mergers, acquisitions, and restructuring.
Qualifications and Skills:
1. Bachelor’s or Master’s degree in Law (LLB/LLM) and a qualified Company Secretary
(CS).
2. Strong understanding of contract laws, company law, corporate governance, and
regulatory frameworks.
3. Proven experience in drafting and negotiating contracts.
4. Proficiency in handling regulatory filings and compliance activities.
5. Strong communication, analytical, and problem-solving skills.
6. Proficient in legal research and knowledge of applicable software tools (e.g., MS
Office, compliance management systems).
Preferred Skills:
1. Exposure to international contracts and cross-border compliance.
2. Knowledge of additional corporate laws, intellectual property laws, or industry-specific
regulations.
3. Prior experience in a corporate legal department or consulting firm.
