Ola Electric is looking to onboard a high caliber corporate commercial lawyer for the position of Associate Director (AD) handling the broad spectrum of day-to-day legal affairs of the business. The AD will function as a key member and lead counsel of Ola Electric team advising the multiple departments and its management team on a wide variety of legal issues.

The AD will be the responsible to handle variety of legal issues, including legal contracts, litigation, compliance in multiple areas, such as manufacturing, procurement, operation, marketing, sales, logistics, administration etc. Participate in discussions with other departmental heads and arrive at a decision on day to day business affairs of the Company.

Drafting, reviewing and negotiating a wide range of commercial contracts, including manufacturing,

marketing, supply and distribution agreements. Developing and coordinating litigation strategies and

coordinating centrally all litigation across the country, including consumer litigations. Coordinating

regulatory compliance, including monitoring legislation and implications of new business initiatives that

group may pursue in India and abroad. Training current businesses on compliance initiatives and legal

developments. As the opportunities are developed, training and managing other lawyers hired to do legal work.To work closely with GC, other members of the legal team and senior management team to maintain a culture of compliance and effective internal control, whilst also fostering process efficiencies and business

growth.


Specific Roles and Responsibilities:

Legal Strategy and Advisory:

Collaborate with Ola Electric business team to develop and lead implementation of legal strategy.

Promote and protect Ola Electric Group’s legal interests from Indian law perspective as well as in

international markets. Oversee and support the day-to-day operations and lead implementation of legal

strategy for Ola Electric. Provide time-sensitive support on a wide array of legal inquiries in connection

with all aspects of business and operations. Ensure day-to-day legal needs of all departments are

adequately met.

Risk Identification:

Identify and consult on legal risks in connection with any external partnerships, development of new

products, regulatory, data security and privacy, intellectual property requirements and any other matters

as needed.

Deal Negotiation:

Lead strategic deals, resolve issues on real time basis - that arise in existing commercial relationships,

and handling pre-litigation legal disputes and inquiries


Agreements and Contracts:

Draft, review, negotiate and advise internal stakeholders and negotiate with external counterparts on a

variety of commercial agreements, including automotive supply agreements, operations agreements,

services agreements, partnerships, marketing agreements, etc.

External Counsel Management:

Liaise with specialist external counsel in relation to original new products, expansion into new market

verticals, areas relating to compliance, privacy, or security and any other matters as needed.

Policies and Procedures:

Review and drive compliance of legally required policies (e.g. Code of Ethics, Anti-corruption). Manage

fraud reporting and whistleblower policies and procedures.

Data Protection:

Strong understanding and appreciation of data protection regulations including GDPR. Advisory to Data

Security teams as needed on data related legal risks.

3. Qualifications

BA. LLB. Hons/ LLB/ LLM from a reputed law school/ university

Reporting: Director, Legal with dotted line to the GC

4. Experience:

● Excellent academic credentials

● 8 to 14 years of experience as an in-house counsel along with experience at a top tier law firm,

with specific experience in Indian Companies Act, corporate commercial matters, complex

contracting, sourcing strategies, supply chain issues and complex contractual drafting and

negotiations.

● Experience working in or advising in the automotive sector would be preferred

● Breadth of legal expertise and understanding of wide variety of laws applicable to automotive,

electric and renewable sectors

● Preferable exposure to corporate commercial areas, if candidate has in-house experience

● Experience in dealing with and resolving litigation, including consumer litigations
