A subsidiary entity of CG Power & Industrial Solutions Ltd., part of the Murugappa Group, which is incorporated for the purpose of engaging in the business of design and development of semiconductors. The group had secured a marquee license to establish a Semiconductor OSAT facility, with an expected production capacity of 15 million semiconductor ICs daily. Further, the group recently forayed into semiconductor design business. The ambition is to create a leading global Semiconductor platform through strategic initiatives aimed to capture a larger portion of the semiconductor value chain and enhance comprehensive semiconductor development and production capabilities in India.
Job Overview
The Head of Legal is responsible for overseeing all legal matters within the company, ensuring compliance with laws and regulations across global jurisdictions, managing corporate governance, and protecting the company’s intellectual property portfolio. The ideal candidate will provide strategic counsel to the executive team, oversee commercial transactions, and manage legal risks associated with corporate operations. The role requires proven leadership capabilities to guide the legal team while collaborating with cross-functional business units.
Key Responsibilities
Corporate Governance & Compliance
Ensure compliance with all legal and regulatory requirements across domestic and international operations.
Oversee board governance and filings, including corporate secretarial duties.
Monitor and implement changes in laws and regulations to ensure ongoing compliance.
Contracts & Commercial Transactions
Draft, review, and negotiate contracts including vendor agreements, customer contracts, and licensing deals.
Implement effective contract management processes to mitigate legal risks and optimize commercial terms.
Work closely with external counsel to manage legal aspects of commercial agreements.
Risk Management & Litigation
Proactively identify and mitigate legal risks, including intellectual property, product liability, and regulatory risks.
Oversee litigation and arbitration, coordinating with external counsel as required.
Develop and implement a company-wide risk management strategy to safeguard legal interests.
Intellectual Property Protection
Manage the company’s intellectual property portfolio, including patents, trademarks, and copyrights.
Collaborate with R&D and product development teams to ensure proprietary technologies are properly protected.
Oversee IP disputes and filings, ensuring global protection of the company’s innovations.
Mergers & Acquisitions, Deal Negotiations
Provide legal support during mergers, acquisitions, and other strategic transactions.
Lead due diligence processes, ensuring the identification and mitigation of legal risks in potential deals.
Assist in the negotiation of deal terms , ensuring alignment with the company’s business goals and legal framework.
Team Leadership & Development
Lead the legal department, fostering a culture of compliance, integrity, and proactive risk management.
Provide guidance and mentorship to the legal team, ensuring the development of legal expertise across global jurisdictions.
Collaborate with departments including operations, finance, and HR to align the legal team with broader business objectives.
Job Requirements
Bachelor’s or Master’s degree in Law from a reputed university.
Bar admission required, and additional qualifications (LLM) preferred.
Minimum of 8-15 years of legal experience, with at least 5 years in a senior legal leadership role.
Extensive experience in corporate law , contract negotiation , IP management , and litigation .
Prior experience in the technology or semiconductor sectors is preferred but not required.
Strong leadership and communication skills with the ability to lead a global legal function.
Expertise in contract negotiation , risk management , and regulatory compliance .
Ability to manage complex legal matters in a fast-paced, global environment.
