AIF compliance manager

Job Title: AIF Compliance ManagerLocation: (Mumbai / Bengaluru / Delhi-NCR)Department: Legal & ComplianceReporting To: Head – Compliance / Chief Compliance OfficerRole SummaryThe AIF Compliance Manager will be responsible for end-to-end regulatory compliance for the Alternative Investment Funds (Category I/II/III), ensuring full adherence to SEBI (AIF) Regulations, 2012, circulars, and other applicable laws. The role involves managing day-to-day compliance, regulatory filings, internal controls, and acting as a key interface with regulators, service providers, and internal stakeholders.Key Responsibilities1. Regulatory Compliance & SEBI Filings- Own the compliance calendar for all AIF schemes – track due dates, filings, and status.- Prepare, review, and file periodic SEBI returns (quarterly, half-yearly, annual, CTR, etc.).- Monitor SEBI circulars/notifications and implement regulatory changes in processes and documentation.- Prepare responses and documentation for SEBI queries / inspections in coordination with senior management and legal counsel.2. Fund Documentation & Disclosures- Review and maintain Private Placement Memoranda (PPM), contribution agreements, side letters and amendments from a compliance perspective.- Ensure fund documents, marketing material and investor communication are consistent with PPM and SEBI requirements.- Support periodic updates to PPM / fund documents in case of changes in strategy, fee, governance, or regulatory requirements.3. Investor & Operational Compliance- Oversee compliance aspects of onboarding, drawdowns, distributions, investor classification and eligibility.- Coordinate with fund accountant, RTA, custodian and other intermediaries to ensure data and reports align with regulatory filings.- Monitor related party transactions, valuation process, conflicts of interest, and escalate deviations.4. Tax & Cross-Border Coordination (as applicable)- Coordinate with tax advisors for Form 64C/64D, ITR filings, TDS under section 194LBB, and investor tax reporting.- Monitor FEMA / RBI-related compliance triggers for foreign investors and cross-border flows; coordinate filing/structuring with advisors.5. Policies, Controls & Internal Governance- Draft, review and update compliance-related policies and SOPs (insider trading, code of conduct, conflict of interest, valuation, risk management, etc.).- Conduct periodic internal compliance reviews, identify gaps, and implement corrective actions.- Prepare regular compliance dashboards / MIS for management, trustees, and investment committee.Required Qualifications & Experience- Professional Qualification:- CS / LLB / CA / CFA (any one mandatory; combination preferred).- Experience:- 4–7 years of relevant experience in AIF / PMS / Mutual Fund / NBFC / Investment Banking compliance or legal, with at least 2–3 years specifically handling SEBI AIF or PMS regulations.- Strong working knowledge of:- SEBI (AIF) Regulations, 2012 and related circulars- SEBI (PMS) Regulations, SEBI (PIT), SEBI (LODR) – plus- Companies Act, Income-tax provisions relevant to AIFs, and basic FEMA awareness.Skills & Competencies- Excellent understanding of regulatory requirements and practical implementation in an AIF set-up.- Strong drafting and documentation skills (filings, policies, letters to regulators).- High attention to detail, strong process orientation, and ability to design and maintain trackers/calendars.- Ability to interact confidently with regulators, trustees, investors, and internal stakeholders.- Proactive, ownership mindset; able to work independently in a lean team environment.Compensation- CTC: Competitive and commensurate with experience
