Mission-driven Head of Compliance sought to spearhead compliance functions in a listed company. Reporting directly to the Board, you will be responsible for ensuring strict adherence to all relevant statutory and regulatory requirements.
- Key Responsibilities
- Corporate Governance & Board Support: Advise the board of directors on matters of corporate governance, facilitating efficient operations and ethical decision-making.
- Regulatory Compliance: Oversee compliance with the Companies Act, SEBI regulations, and other financial laws applicable to a listed company.
- Risk Management: Identify, assess, and mitigate potential compliance risks across the organization, developing robust internal policies and procedures.
- Statutory Filings: Ensure timely filing of regulatory documents and returns with authorities like the Registrar of Companies (ROC) and Ministry of Corporate Affairs (MCA).
- Responding to Regulators: Promptly address queries, notices, and summons issued by stock exchanges, SEBI, and other regulatory authorities.
- Internal Audits: Conduct regular internal audits and reviews to ensure continuous adherence to regulations and internal policies.
Required Qualifications & Skills
- Professional Qualifications: A mandatory qualified Company Secretary (CS). A Chartered Accountant (CA) qualification is a strong advantage.
- Experience: Minimum of 10 years of experience in a senior compliance, corporate secretarial, or governance role, preferably in a listed company handling M&A compliance.
- Legal & Financial Knowledge: In-depth knowledge of Indian corporate laws, financial regulations, accounting standards, and taxation.
- Regulatory Expertise: Strong understanding of regulatory filings and procedures with authorities like the MCA, ROC, SEBI, and RBI.
