Job Description
">We are seeking an experienced and highly skilled Compliance Officer to oversee all compliance functions, with a strong focus on governance, risk management, and regulatory filings.
">Key Responsibilities">- ">
- Corporate Governance & Board Support: Advise the board of directors on all matters of corporate governance, ensuring efficient and ethical operations. Facilitate board and committee meetings, preparing agendas, and ensuring accurate minute-taking and timely follow-up on action items in accordance with applicable guidelines.">
- Regulatory Compliance: Ensure strict adherence to all relevant statutory and regulatory requirements, including laws and regulations applicable to a company.">
- Acquisition & Integration: Manage and integrate the compliance functions of newly acquired companies, ensuring a seamless transition.">
- Risk Management: Proactively identify, assess, and mitigate potential compliance risks across the organization, developing and implementing robust internal policies and procedures.">
- Statutory Filings: Oversee the preparation and timely filing of all regulatory documents and returns with authorities such as the Registrar of Companies (ROC) and Ministry of Corporate Affairs (MCA).">
- Responding to Regulators: Ensuring prompt resolution to queries / notices / summons issued by regulatory authorities and engaging in discussions to resolve their queries.">
- Internal Audits: Conduct regular internal audits and reviews to ensure continuous adherence to regulations and internal policies.">

Required Qualifications & Skills">
- ">
- Professional Qualifications: A mandatory qualified Company Secretary (CS). A Chartered Accountant (CA) qualification is a strong advantage.">
- Experience: Minimum of 10 years of experience in a senior compliance, corporate secretarial, or governance role. Must have experience working in a listed company and handling M&A compliance.">
- Legal & Financial Knowledge: In-depth knowledge of Indian corporate laws, financial regulations, accounting standards, and taxation.">
- Regulatory Expertise: Strong understanding of regulatory filings and procedures with authorities like the MCA and ROC.">
