Job Summary:

We are seeking a seasoned Contract Specialist to join our team. The ideal candidate will have extensive experience in reviewing and negotiating contracts, with a strong focus on customer-facing agreements.

Main Responsibilities:
  • Contract Review and Negotiation: Independently review and negotiate IT contracts pertaining to the Americas (US, Canada, LATAM) with customers, subcontractors, vendors, and alliance partners globally.
  • Master Services Agreements and SOWs: Review and negotiate Master Services Agreements, Statements of Work (SOWs), Partner Agreements, Reseller Agreements, Teaming Agreements, and Rainmaker Agreements.
  • Closure of Transactions: Coordinate with procurement, business, and delivery functions for the closure of transactions.
  • Monthly Reporting: Prepare monthly reports on transactions received during the previous month.
Requirements:
  • Experience: Minimum 4-8 years of experience in contract negotiation and management.
  • Contractual, Commercial, and Operational Risks: Identify and mitigate contractual, commercial, and operational risks and exposures in contracts.
  • Agreement Preparation and Negotiation: Work with internal and external clients to structure, prepare, negotiate, and finalize agreements, letters of intent, commercial proposals, etc.
  • Interpersonal Competencies: Strong interpersonal skills, with ability to work closely with internal stakeholders, external counsel, and advisors during the contracting process.
  • Team Leadership: Manage and guide junior lawyers as needed.
  • Negotiating IT Outsourcing Contracts: Experience in negotiating IT outsourcing contracts and other types of IT contracts with customers.
