Job Description

Believe is seeking a highly skilled and experienced Associate Business Affairs Specialist to join our team in India.

The successful candidate will be responsible for managing the secretarial and legal matters of our affiliated companies in India, including contract processing and deployment, as well as ensuring compliance with all applicable codes and regulations.

The ideal candidate will have a minimum of 5 years of experience as a lawyer in an international group, with a strong background in handling secretarial and corporate matters. Fluency in English is essential, and experience with contracting and CRM tools is highly desirable.

Key responsibilities will include:

  1. Managing corporate matters, including preparing agendas and papers for board meetings, committees, and annual general meetings (AGMs/EGMs)
  2. Ensuring internal compliances with Indian Company Laws and FEMA Laws
  3. Liaising with external regulators and advisers, such as lawyers, consultants, and auditors
  4. Developing and overseeing systems to ensure compliance with all applicable codes and regulations
  5. Assisting the team with mergers, acquisitions, slump sales, and amalgamations, including post-integration
  6. Managing contractual agreements with suppliers and customers, including drafting, vetting, and negotiations
  7. Handling pre-litigation and litigation matters, including public notices and legal notices
  8. Coordinating internal stakeholders for drafting inter-company agreements, policies, and procedures
  9. Researching and preparing legal opinions on various topics

The successful candidate will be a proactive team player with excellent organizational skills, attention to detail, and excellent communication skills. Experience with Microsoft Office suite is highly desirable.
