Senior Legal Manager

Job Description

The role of Senior Legal Manager involves working closely with the Group Chief Legal Officer (GCLO) in all aspects of legal affairs. This includes significant interaction with senior management, providing advice on a variety of legal issues, managing outside counsels, and leading internal teams.

This role requires providing legal advice on a broad range of issues, influencing strategic decision-making. It also involves assisting with litigation strategy and managing outside counsel relationships. Furthermore, it entails overseeing the legal aspects of company business, providing legal support in business acquisition and throughout the project life cycle, leading funding transactions from legal, and managing external legal counsels.

In addition to these responsibilities, the Senior Legal Manager will lead equity deals, ensure closure of deals and resolve any outstanding issues with other parties. They will also lead the contracts function from the Legal team, involving drafting, negotiations, and finalization of contracts with third-party EPC vendors, suppliers, consultants, etc.

Moreover, this role involves defending indemnity claims related to corporate funding/sale of assets transactions, drafting responses to indemnity notices, and supporting the Corporate Finance team in SPV governance regarding relationships with investors. The Senior Legal Manager will also support strategic litigations, leading them as per the advice of the GCLO/management.

The job also involves supporting the Business Acquisition team in participation in competitive bids, including reviewing bid documents, issuing detailed risk analyses, addressing queries, vetting bid proposals, reviewing communications, performing due diligence on the SPV prior to acquisition, and issuing in-house legal opinions on interpretation and strategic issues.

Furthermore, the Senior Legal Manager will provide general legal advisory services on strategy and interpretation of draft/new regulations, review proposed standard bidding documents or amendments to existing standard bidding documents, and assist the policy advocacy team in communicating with authorities. They will also review representations to be made to authorities as advised by the GCLO.

The role also entails formulating processes/SOPs/strategy documents as per business requirements to streamline processes and mitigate company risk exposure. Additionally, they will help and support business teams on legal advisory for day-to-day legal issues and perform other assignments as per the advice of the GCLO.

Required Skills and Qualifications

A Law graduate from a reputed law school with work experience of around [15+] years in multinational companies preferably in power/infrastructure/energy sectors is required. A mix of in-house and law firm experience would be preferable.

The ideal candidate should have sound commercial understanding of power/energy business and government tenders/projects. They should be a team player with ability to successfully engage with internal and external stakeholders. Good communication skills (written and verbal) are essential.
