Compliance Officer

Corporate governance is the foundation upon which a successful organization is built. We are seeking an experienced professional to oversee our compliance initiatives as Head of Compliance.

  • Corporate Governance and Board Support: The selected candidate will provide strategic guidance to the board of directors on corporate governance matters, ensuring seamless and ethical operations in accordance with regulatory requirements.
  • Regulatory Compliance: This role involves ensuring strict adherence to relevant statutory and regulatory requirements, including the Companies Act and other financial laws applicable to listed companies.
  • Acquisition and Integration: The candidate will manage the integration of compliance functions of newly acquired companies, ensuring a smooth transition.
  • Risk Management: They will identify, assess, and mitigate potential compliance risks across the organization, developing and implementing robust internal policies and procedures.
  • Statutory Filings: The Head of Compliance will oversee the preparation and timely filing of all regulatory documents and returns with authorities such as ROC and MCA.
  • Responding to Regulators: Prompt resolution of queries, notices, or summons issued by regulatory authorities is essential for this role.
  • Internal Audits: Regular internal audits and reviews will be conducted to ensure continuous adherence to regulations and internal policies.
Required Qualifications and Skills:
  • Professional Qualifications: A mandatory CS qualification is required, with CA qualification being a strong advantage.
  • Experience: At least 10 years of experience in senior compliance, corporate secretarial, or governance roles, preferably in listed companies handling M&A compliance.
  • Legal and Financial Knowledge: In-depth knowledge of Indian corporate laws, financial regulations, accounting standards, and taxation is necessary.
  • Regulatory Expertise: Strong understanding of regulatory filings and procedures with authorities like MCA, ROC, and RBI is essential.
