Job Title: Corporate Transaction Lawyer

Description

This role involves managing complex corporate transactions, leading cross-functional teams and negotiating with counterparties. The ideal candidate will have in-depth knowledge of foreign exchange regulations, corporate law, securities regulations and contract law.

Key Responsibilities:

  • Structure and execute corporate transactions to meet commercial objectives.
  • Draft, review and negotiate transaction documents, including term sheets, non-disclosure agreements and share purchase agreements.
  • Oversee and manage investments and corporate transactions from inception to completion.
  • Provide legal advice on foreign exchange compliance, Companies Act and corporate governance matters.
  • Manage business contracts, including licensing agreements, merchant agreements and marketing agreements.
  • Ensure legal compliance with applicable laws and regulations.
Requirements

To succeed in this role, you will need:

  • A minimum of 11-13 years experience in corporate transactions, preferably in a tier-1 or tier-2 full-service law firm.
  • In-depth knowledge of foreign exchange regulations, corporate law, securities regulations and contract law.
  • Proven ability to manage complex transactions and lead cross-functional teams.
  • Excellent communication, negotiation and drafting skills.
  • Ability to think strategically and work collaboratively across different business functions.
  • Strong analytical skills with the ability to simplify complex legal concepts.
  • Detail-oriented with a strong ability to balance legal risk with business needs.
  • Ability to manage multiple projects and deadlines in a fast-paced environment.
