Job Title: Company Secretary

The primary function of a company secretary is to provide administrative support to the board of directors and senior management. This role involves handling sensitive information with discretion and ensuring that all documentation is accurate and up-to-date.

  • Manage secretarial aspects of Board Meetings, AGMs, and other corporate activities, including preparation, review, and distribution of notice, agenda items, minutes of meetings, board resolutions, and any other documents as applicable.
  • Ensure and vet contracts and other documents of the company, prioritizing company interests.
  • Provide compliance and advisory work relating to Companies Act, ROC, and other secretarial compliance.
  • Maintain records of all documents required for audit and establish auditable procedures.
  • Prepare and present periodic compliance reports to senior management.
  • Assist the finance department as needed.

  • Strong organizational and time-management skills.
  • Ability to maintain confidentiality and handle sensitive information.
  • Excellent communication and interpersonal skills.
  • Proficiency in Microsoft Office Suite.
  • Familiarity with companies' acts and regulatory requirements.
