Eligibility requirements for registering as a Portfolio Manager:

  • The applicant must be a body corporate entity.
  • The applicant should possess necessary infrastructure, including office space, equipment, and personnel.
  • The applicant must appoint a compliance officer.
  • The principal officer of the applicant has:
  • A professional qualification in law, finance, accountancy, or business management, or completion of the CFA program.
  • The principal officer must have at least five years' experience in related activities within the securities market, including portfolio management, stock brokerage, investment advisory services, research analysis, or fund management.

In addition, at least two years' relevant experience is required in portfolio management or investment advisory services, or areas related to fund management.

  • Obtaining NISM XXI-B certification.
    • Other than the principal officer and compliance officer, the applicant must employ at least one person who holds a graduate degree and has at least two years' experience in related activities within the securities market, including portfolio management, stock brokerage, investment advisory services, research analysis, or fund management. If this employee is a fund manager, they must meet the same qualifications, experience, and certification requirements as the principal officer.
    • The applicant must fulfill capital adequacy requirements, which include a minimum net worth of Rs. 5 crores.
    • The calculation of net worth includes paid-up equity capital plus free reserves, minus accumulated losses and deferred expenses not written off, excluding miscellaneous expenses not written off.
    • The applicant's net worth must meet separate and independent requirements for each activity undertaken under relevant regulations.
    • The applicant, its directors, principal officers, compliance officers, or employees are not involved in any litigation or convicted of offenses involving moral turpitude.
    • The applicant must be a fit and proper person, meeting criteria specified in Schedule II of the SEBI (Intermediaries) Regulations, 2008.
    • Granting a certificate to the applicant is in the interest of investors.
    • To register, the applicant must submit Application Form A to SEBI, along with fees. The fee structure includes:
    • Application fee: INR 1 lakh
    • Registration fee: INR 10 lakhs
    • Reneewal fee: INR 5 lakhs, payable every three years
