**Portfolio Management with SEBI Eligibility Norms

  • A company can register as a Portfolio Manager with SEBI by meeting certain eligibility criteria.

The applicant must have necessary infrastructure like office space, equipment and manpower to support their portfolio management activities.

Key requirements for the principal officer include:

  1. a professional qualification in law, finance, accountancy, business management or CFA certification;
  2. at least five years of experience in related activities in the securities market including portfolio management, stock broking, investment advising, research analysis or fund management;
  3. experience in portfolio management or investment advisory services should be at least two years;
  4. NISM XXI-B certification;
  5. the applicant has in its employment at least one person who is a graduate with at least two years of experience in related activities in the securities market including portfolio management, stock broking, investment advising, research analysis or fund management; this person should have similar qualifications, experience and certification as specified for the principal officer;
  6. the applicant fulfills the capital adequacy requirement with a minimum net worth of Rs. 5 crores;
  7. the applicant's net worth should be calculated based on paid-up equity capital plus free reserves minus accumulated losses and deferred expenditure not written off;
  8. the applicant, its director, principal officer, compliance officer or employees are not involved in any litigation or convicted of any offence involving moral turpitude;
  9. the applicant is a fit and proper person according to schedule II of the SEBI (Intermediaries) Regulations, 2008;
  10. granting a certificate to the applicant is in the interest of investors;
  11. application form A should be filed with SEBI along with the fee;
  12. the fee structure includes application fees of INR 1 lakh, registration fees of INR 10 lakhs and renewal fees of INR 5 lakhs to be paid every 3 years;
