Job Description

We are seeking an experienced Company Secretary and Compliance Officer to join our team in Bengaluru. As a key member of our organization, you will be responsible for overseeing corporate governance and compliance within the group.

The successful candidate will have a strong understanding of corporate governance, compliance, and regulatory frameworks. They will ensure the organization's adherence to laws, regulations, and internal policies, and provide oversight on corporate governance, compliance, and regulatory matters.

Key Responsibilities:

Corporate Governance

1. Ensure compliance with relevant SEBI laws, regulations, and standards.

2. Maintain accurate and up-to-date records, including the company's register, minute books, and other statutory documents as mandated by SEBI.

3. Coordinate and facilitate board meetings, annual general meetings, and other shareholder meetings.

Compliance and Risk Management

1. Monitor compliance policies and procedures.

2. Identify, assess, and mitigate regulatory risks.

3. Ensure timely reporting of compliance issues to senior management.

Regulatory Affairs

1. Stay up-to-date with changes in relevant laws, regulations, and standards of SEBI AIF regulations.

2. Liaise with regulatory bodies, auditors, and other stakeholders.

Company Administration

1. Manage the company's registered office and ensure compliance with statutory requirements.

2. Coordinate with external service providers, such as lawyers, auditors, and consultants.

Requirements

We are looking for a professional with:

1. Professional Qualifications: ICSI (Institute of Company Secretaries of India) or equivalent.

2. Relevant Experience: Minimum 3 years of experience in a similar role of compliance and risk function.

3. Knowledge and Skills:

1. Strong understanding of corporate governance, compliance, and regulatory frameworks.

2. Excellent communication, interpersonal, and analytical skills.

3. Ability to work independently and as part of a team.

4. Strong organizational and time management skills.

5. Proficiency in Microsoft Office and other relevant software.

Compensation

The estimated salary for this role is ₹25,00,000 - ₹35,00,000 per annum, depending on qualifications and experience.
