Job Title: Secretary to the Board

This role requires a highly skilled and experienced professional to manage the company's statutory compliance, corporate governance, and secretarial functions. The ideal candidate will have strong knowledge of applicable laws, regulations, and industry standards.

Main Responsibilities:

  • Ensure compliance with all relevant statutes, regulations, and listing requirements.
  • Coordinate Board meetings, Annual General Meetings (AGMs), and other statutory gatherings.
  • Draft agendas, minutes, and resolutions for Board and Committee meetings.
  • Manage statutory records, registers, and filings with regulatory bodies.
  • Liaise with external advisors, such as lawyers, auditors, and consultants.
  • Provide strategic advice to the Board on legal, financial, and operational matters.
  • Handle share transfers, issue new shares, and oversee secretarial matters.
  • Maintain corporate governance practices and code of conduct.
  • Oversee management of intellectual property, contracts, and legal documentation.
  • Assist in policy development and implementation related to compliance and governance.

Requirements:

  • Strong understanding of Companies Act, SEBI Regulations, FEMA, and other relevant laws.
  • Excellent communication, drafting, and interpersonal skills.
  • Ability to interact effectively with senior leadership and external stakeholders.
  • High level of attention to detail, organizational skills, and discretion when handling sensitive information.
  • Proficiency in MS Office, legal databases, and secretarial software.
