Job Overview:
  We are seeking a highly skilled and experienced Secretarial Operations Specialist to join our team at Tech Mahindra. The successful candidate will be responsible for handling the secretarial functions of listed and unlisted companies in the group, including duplicate/share transfer/transmission, coordinating with regulatory bodies, policy review, corporate action projects, and investor relations.

Salary: ₹45-60 lakhs per annum, depending on experience.

Key Responsibilities:
  
  • Handle share transfers, transmissions, and duplicates for listed and unlisted companies.
  • Coordinate with SEBI, ROC, Regional Director, Ministry of Corporate Affairs, and IEPF Authority.
  • Review and update policies in line with regulatory frameworks.
  • Design and monitor corporate action projects, such as mergers, fund raising, buy-backs, and acquisitions.
  • Manage activities related to postal ballots and insider trading regulation compliance.
  • Liaise with Share Transfer Agents for investor matters, IEPF, KYC, and corporate actions.
  • Participate in digitization of key secretarial matters and maintain a monthly dashboard for updates.

  Requirements:
  
  • 8-10 years of post-qualification experience, with at least 5 years in a listed entity.
  • Member of the Institute of Company Secretaries of India (ICSI) or equivalent qualification.
  • Excellent knowledge of Companies Act, 2013, SEBI listing regulations, ESOPs, insider trading, and other relevant laws.
  • Strong expertise in investor relations, grievance handling, and compliance.
  • Familiarity with international laws and compliances.
