Our organization is seeking an accomplished professional to assume a pivotal role in driving business growth and strategic decision-making.

Key Responsibilities:

  • Provide expert guidance on structuring and advisory services related to deals from a tax perspective, encompassing foreign exchange control, FEMA, domestic tax law, DTAAs, stamp duty, and allied laws.
  • Develop and review deal documents, including term sheets, loan agreements, SPAs, disclosures, BTA, merger schemes, reps, and warranties.
  • Collaborate with stakeholders to conceptualize deals, focusing on India entry/exit strategies, favorable holding jurisdictions, tax efficiency, and commercial rationale.
  • Offer advisory services on possible structuring through the IFSC Gift city.
  • Liaise with various stakeholders, including AD Bankers, to ensure seamless communication and coordination.
  • Conduct health checks and prepare due diligence reports to inform strategic decisions.

International Tax and FEMA Advisory:

  • Provide expert advice on international tax issues, including PE, profit attribution, business connections, expat tax, ESOPs, indirect transfer, POEM, capital repatriation, royalty, FTS, broadcasting rights, and tax-transparent entities.
  • Analyze effective tax rates (ETRs) for Indian promoter-held groups with multiple entities.
  • Offer advisory services on FEMA and assist with compounding applications.
  • Support lower withholding applications, condonation applications, assessments, appeals, and engage with senior counsels to brief and prepare synopsis.
