The Role

As a senior corporate governance professional, you will lead our compliance agenda, interface with regulatory bodies, and ensure seamless integration of ambitious growth initiatives with flawless adherence to regulatory requirements.

Key Responsibilities:
  • Regulatory Compliance Expertise:
    • Ensure comprehensive compliance across all statutory and regulatory domains.
    • Coordinate timely and error-free filings with relevant authorities.
    • Monitor and implement regulatory updates, including loan-to-value norms, auction policies, KYC, and recovery guidelines.
  • Strategic Governance Advisor:
    • Manage end-to-end board meetings, ensuring smooth transition from agenda planning to actionable tracking.
    • Provide expert advice to the board on complex regulatory matters, translating them into actionable insights.
    • Maintain accurate investor-ready records, registers, and resolutions.
  • Compliance Leadership:
    • Foster strong relationships with regulatory bodies, stock exchanges, and auditors.
    • Lead regulatory inspections, inquiries, and correspondence with confidence and foresight.
    • Proactively address compliance observations, implementing preventive measures.
  • Compliance Process Optimization:
    • Design and implement SOPs for secretarial and RBI compliance across the group.
    • Leverage digital tools to automate filings, reduce manual dependency, and enhance overall efficiency.
    • Institutionalize compliance dashboards and internal audit checklists.
  • Stakeholder Confidence Builder:
    • Ensure readiness for investor interactions, AGMs, and regulatory disclosures.
    • Manage ESOP administration, shareholding changes, dividend declarations, and insider trading policies.
    • Collaborate with RTAs, legal counsels, and merchant bankers as necessary.
  • Commercial Document Specialist:
    • Draft and vet resolutions, shareholder agreements, and corporate documents.
    • Ensure all legal documentation is accurate, actionable, and business-friendly.
  • Key Performance Indicators:
    • Zero non-compliances across all statutory and regulatory domains.
    • On-time, error-free statutory filings and disclosures.
    • High confidence from key stakeholders in our governance standards.
    • Proactive risk identification and compliance readiness.
    • Regulatory inspections and audits concluded with minimal observations.
  • Essential Competencies:
    • Deep understanding of Companies Act, SEBI LODR, RBI NBFC Gold Loan Guidelines, and Secretarial Standards.
    • Strong drafting, communication, and interpretative skills.
    • Experience handling inspections, board governance, and compliance automation.
    • Tech-savvy with familiarity in MCA21 and compliance tools.
    • High ownership, ethical grounding, and a bias for action.
