Job Summary

This is a pivotal role within an organization, requiring an experienced corporate governance professional to oversee the company's legal compliance and corporate framework.

Key Responsibilities
  • Corporate Governance & Compliance:
    • Oversee the entire lifecycle of incorporating companies, ensuring adherence to regulatory protocols from initiation to approval.
    • Prepare and authenticate incorporation documents, manage DIN/Digital Signature applications, and execute timely filings.
  • Statutory Compliance & Reporting:
    • Ensure timely preparation and filing of annual returns, statutory forms, and other regulatory submissions as per relevant regulations.
    • Maintain up-to-date statutory registers, records, and ensure robust documentation in line with compliance norms.
    • Monitor changes in legislation and proactively update internal stakeholders on applicable regulatory developments and implications.
  • Board Governance & Policy:
    • Draft, review, and circulate board and committee meeting notices, agendas, resolutions, and minutes in a timely and accurate manner.
    • Maintain complete and updated secretarial records and facilitate smooth execution of board-level governance protocols.
  • Risk Management & Confidentiality:
    • Collaborate with leadership and legal teams in formulating key policies aligned with organizational strategic and compliance goals.
    • Ensure sound information management and confidentiality protocols are implemented and maintained across functions.
  • Stakeholder Engagement:
    • Act as a critical liaison between internal teams, management, and external regulatory bodies, ensuring seamless communication and process alignment.
    • Support shareholder and investor communication, particularly in relation to corporate filings, disclosures, and general meeting matters.
Core Requirements
  • Qualified and practicing corporate governance professional with strong knowledge of corporate laws and secretarial standards.
  • 6–8 years of post-qualification experience in corporate governance roles.
  • Meticulous attention to documentation and compliance timelines.
  • Experience in regulatory affairs will be an added advantage.
  • Proficient in drafting, reviewing, and maintaining legal documents and records.
  • Excellent coordination and stakeholder management skills.
  • Ability to work independently and ensure zero non-compliance.
