As a Legal Specialist in Customer Contracts, you will be responsible for reviewing and negotiating IT contracts pertaining to the Americas (US, Canada, LATAM) independently.

  • You will review procurement side contracts mostly but may have exposure to customer side contracts as well.
  • You will work on contracts with customers, subcontractors, vendors & alliance partners, based globally.
  • You will review and negotiate Master Services Agreements, SOWs, Partner Agreements, Reseller Agreements, Teaming Agreements, Rainmaker Agreements.
  • You will coordinate with procurement, business and delivery functions for closure of transactions.
  • You will coordinate with other legal team members.
  • You will prepare monthly report on transactions received in particular month.

The role also involves monthly cadence reporting & meetings with management, conducting presentations & trainings as may be required and legal projects on a case-by-case basis assigned by Senior Legal Counsels in the team.

Required Skills and Qualifications

Inter-personal competencies

  • You must be able to identify contractual, commercial and operational risks and exposures in contracts;
  • You must provide inputs/mark-up on contracts to negate contractual, commercial and operational risks and exposures;
  • You must work with internal and external clients to structure, prepare, negotiate and finalize agreements, letters of intent, commercial proposals, etc.;
  • You must have major experience in Contract Negotiation;
  • You must review and Negotiate Customer Agreements;
  • You must provide legal support for ongoing contract management related activities; You must work in close coordination with external legal counsel;
  • You must participate in discussions with internal stakeholders, external counsels and advisors during the entire contracting process;
  • You must manage and give guidance to junior lawyers;
  • You must have experience in negotiating IT Outsourcing contracts and other types of IT contracts with customers.
