The Role

This is a full-time on-site position for a qualified company secretary located in Navi Mumbai. The successful candidate will be responsible for ensuring corporate and secretarial compliances under various laws and regulations.

Key Responsibilities:
  • Ensuring compliance with the Companies Act, 2013 and allied laws.
  • Managing listed company compliances, including SEBI (LODR), insider trading, takeover code, and corporate governance reporting.
  • Coordinating FEMA & RBI compliances, including ODI, FDI, ECB, FC-GPR/FC-TRS, and other cross-border transactions.
  • Private placement and fund raising activities, including drafting, filings, due diligence, and advisory services.
  • Demat and share capital compliance, including allotment, transfer, corporate actions, and coordination with RTAs and depositories.
  • Drafting and filing of board and general meeting documents, including notices, agendas, resolutions, and minutes.
  • Advising on corporate restructuring, ESOPs, M&A transactions, and due diligence.
  • Liaising with regulators, including ROC, SEBI, RBI, stock exchanges, depositories, and NCLT.
Requirements:
  • Strong knowledge of companies act, SEBI (LODR), FEMA, RBI guidelines, and LLP act.
  • Practical experience in fund raising, Demat compliances, and capital market regulations.
  • Excellent drafting, communication, and client handling skills.
  • Ability to manage multiple client portfolios independently.
