Assistant Manager Legal (Company Secretary)

As a trusted advisor and guardian of corporate governance, you will oversee the entire lifecycle of incorporating companies, ensuring adherence to regulatory protocols from initiation to approval. Your role involves being a strategic enabler of seamless business operations, providing sound legal and regulatory advice to management.

Key Responsibilities:
  • Corporate Structuring & Incorporation: Oversee the incorporation process, prepare and authenticate incorporation documents, manage DIN/Digital Signature applications, and execute timely MCA filings.
  • Statutory Compliance & Reporting: Ensure timely preparation and filing of annual returns, statutory forms, and other regulatory submissions as per the Companies Act, LLP Act, and related regulations.
  • Board Governance: Draft, review, and circulate board and committee meeting notices, agendas, resolutions, and minutes in a timely and accurate manner.
  • Policy & Confidentiality Oversight: Collaborate with leadership and legal teams in formulating key policies aligned with the organization's strategic and compliance goals.
  • Legal Compliance & Risk Management: Provide sound legal and regulatory advice to management, helping prevent non-compliance and mitigate potential legal risks.
  • Stakeholder Management: Act as a critical liaison between internal teams, management, and external regulatory bodies, ensuring seamless communication and process alignment.
Requirements:
  • Qualified Company Secretary with active membership with ICSI.
  • 6 to 8 years of post-qualification experience in corporate secretarial roles.
  • Strong knowledge of corporate laws, secretarial standards, and MCA portal filings.
  • Meticulous attention to documentation and compliance timelines.
  • Experience in RERA filings is an added advantage.
  • Proficient in drafting, reviewing, and maintaining legal documents and records.
  • Excellent coordination and stakeholder management skills.
  • Ability to work independently and ensure zero non-compliance.
