Corporate Secretary Role

Job Description:

The Corporate Secretary is responsible for overseeing all corporate secretarial functions, ensuring compliance with regulatory requirements in India and international jurisdictions.

Key Responsibilities:

  • Statutory Filings & Records:
    • Evaluate and ensure timely filing of statutory forms, returns, and documents with regulatory authorities in India.
    • Maintain and update statutory registers, minute books, and corporate records according to Indian company law.
  • Board & Committee Meetings:
    • Prepare meeting notices, agendas, and board packs for Board meetings, Committee meetings, and Annual General Meetings.
    • Track and implement resolutions passed at Board and Committee meetings.
  • Corporate Governance:
    • Advise on best practices in corporate governance, legal requirements, and secretarial compliance issues under Indian laws.
    • Ensure compliance with Secretarial Standards issued by the Institute of Company Secretaries of India.
  • Regulatory Adherence:
    • Monitor changes in Indian laws, such as the Companies Act, 2013, SEBI regulations, FEMA, and labor laws.
    • Advise management on these changes’ implications and ensure CSR regulation compliance.
    • Liaise with regulatory authorities like ROC, SEBI, RBI, and other government departments.
  • International Jurisdictions:
    • Coordinate with external consultants across various international jurisdictions.
    • Oversee timely completion of corporate secretarial compliances in other countries.
    • Review reports and filings prepared by external consultants.
  • Global Governance Consistency:
    • Harmonize corporate governance practices across international entities.
    • Maintain a global overview of the company’s legal entities and applicable compliances.
    • Manage a centralized repository for global corporate secretarial records and documents.
    • Ensure consistent data flow related to global entities for internal reporting.

Qualifications:

  • Member of the Institute of Company Secretaries of India (ACS/FCS).
  • Post-qualification experience in a corporate secretarial role, preferably managing global companies.
