Opportunity Overview
Our client is seeking a legal professional to manage key transactions, overseeing regulatory compliance and contract drafting. This role involves leading private equity and venture capital deals, including structuring, due diligence, and negotiation.
Transaction Management Responsibilities
- Lead PE/VC deal execution, including structuring and due diligence.
- Manage transaction documents, such as SHA, SSA, SPA, and closing support.
Regulatory Compliance Requirements
- Ensure SEBI regulations adherence for Category I Alternative Investment Funds.
- Filings, reporting, governance, and investor disclosures management.
Contract Drafting & Negotiation
- Handle investment and commercial agreements, such as shareholder agreements and joint venture agreements.
Stakeholder Collaboration
- Work with internal teams, external counsel, investors, and portfolio companies to manage legal milestones.
Legal Advisory Services
- Provide guidance on Companies Act, FEMA, and other relevant laws impacting investment and fund operations.
Required Qualifications
- Post-qualification experience in corporate law, preferably with exposure to PE/VC transactions.
- Strong understanding of corporate, securities, and M&A law.
- Proven drafting and negotiation skills.
- Ability to manage multiple projects independently.
