Job Role

We seek a seasoned expert in corporate governance to oversee the company's compliance with regulatory requirements and maintain effective corporate practices.

  • Compliance Oversight:

Maintain awareness of all relevant laws, regulations, and guidelines affecting the company. Develop and implement compliance frameworks and procedures. Conduct regular audits and assessments to identify potential issues.

  • CORPORATE GOVERNANCE STRATEGY:

Provide strategic guidance on governance best practices to the board of directors. Organize and prepare materials for meetings. Assist in developing and implementing policies and procedures.

  • Corporate Secretarial Functions:

E nsure accurate and timely completion of statutory and regulatory filings. Maintain and update corporate records, including board minutes, resolutions, and legal documents. Facilitate communication between the board, management, and shareholders.

  • Risk Management:

Identify and assess potential risks. Develop risk mitigation strategies. Collaborate with departments to ensure comprehensive understanding of potential risks.

  • Training and Awareness:

Conduct training sessions on compliance-related matters. Keep the team informed about changes in laws and regulations.

Requirements

• Certified Company Secretary

• Minimum 7+ years of business partnering experience.

• Strong understanding of regulatory compliance, M&A, investor servicing, AR and GM/Postal Ballots handling, policy reviews, and Insider Trading Regulation Compliance & Material Event Awareness

• Influencing skills and ability to work with Senior Leaders across functions.
