Svaryu Energy Limited is a leading Solar EPC company in India, committed to delivering high-quality solar energy solutions. We are seeking an experienced Company Secretary to join our team in Mumbai.

Job Description

The successful candidate will be responsible for ensuring compliance with statutory and regulatory requirements, managing corporate governance, and supporting the organization in legal and financial matters. Key responsibilities include:

  1. Ensuring compliance with all statutory and regulatory requirements, including filing returns, maintaining statutory registers, and adhering to corporate laws.
  2. Organizing, preparing, and recording minutes for board and shareholder meetings.
  3. Drafting and reviewing legal documents, including agreements, contracts, and resolutions.
  4. Overseeing the creation and management of securities such as mortgages, debentures, and pledges, in coordination with lenders, legal advisors, and shareholders.
  5. Liaising with regulatory authorities, consultants, and legal partners, ensuring timely submissions and compliance.
  6. Handling company secretarial functions related to fundraising, including drafting resolutions and filing necessary documentation with regulatory bodies.
  7. Maintaining a robust corporate governance framework, ensuring the company operates in accordance with the Companies Act, 2013.
  8. Monitoring and ensuring compliance with lender covenants, facility agreements, and regulatory obligations.
  9. Assisting in managing relationships with stakeholders, including investors, lenders, and legal advisors.
  10. Preparing and presenting detailed reports and action plans for senior management and stakeholders.
  11. Supporting due diligence processes, providing comprehensive responses to queries and ensuring all necessary documentation is prepared accurately.
  12. Staying updated on changes in laws, regulations, and governance best practices, and providing strategic guidance to the management team.

Responsibilities

In addition to the above responsibilities, the successful candidate will also:

  • Support the development and implementation of corporate policies and procedures.
  • Contribute to the identification and mitigation of risks associated with the company's operations.
  • Collaborate with internal teams to ensure effective communication and cooperation.
  • Provide advice and guidance on legal and regulatory matters to the management team.

Requirements

To be considered for this position, you should have:

  • A Qualified Company Secretary (CS) with membership in ICSI.
  • A minimum of 5 years of experience in corporate governance, legal compliance, or related fields.
  • Strong knowledge of the Companies Act, 2013, and related laws and regulations.
  • Excellent interpersonal, written, and oral communication skills.
  • Proficiency in drafting and reviewing legal documents, resolutions, and contracts.
  • Expertise in Microsoft Office Suite (Outlook, Excel, Word, and PowerPoint).
  • Strong organizational skills with the ability to manage multiple tasks and deadlines.
  • A positive attitude, adaptability, and a proactive approach to problem-solving.

Salary: ₹80,000 - ₹1,20,000 per month
