Job Title: Chief Governance Officer

This is a senior-level compliance role that oversees all corporate governance functions.

We are seeking an experienced professional to advise the board and management on matters related to corporate governance and regulatory compliance.

The successful candidate will be responsible for ensuring efficient and ethical operations, as well as managing the company's risk exposure.

Key Responsibilities:
  • CORPORATE GOVERNANCE & BOARD SUPPORT: Advise the board of directors on all matters of corporate governance, ensuring accurate minute-taking and timely follow-up on action items.
  • REGULATORY COMPLIANCE: Ensure strict adherence to all relevant statutory and regulatory requirements.
  • RISK MANAGEMENT: Proactively identify, assess, and mitigate potential compliance risks across the organization.
  • STATUTORY FILINGS: Oversee the preparation and timely filing of all regulatory documents and returns with authorities such as the Registrar of Companies (ROC) and Ministry of Corporate Affairs (MCA).
Required Qualifications & Skills:
  • PROFESSIONAL QUALIFICATIONS: A mandatory qualified Company Secretary (CS). A Chartered Accountant (CA) qualification is a strong advantage.
  • EXPERIENCE: Minimum of 10 years of experience in a senior compliance, corporate secretarial, or governance role. Must have experience working in a listed company and handling M&A compliance.
  • LEGAL & FINANCIAL KNOWLEDGE: In-depth knowledge of Indian corporate laws, financial regulations, accounting standards, and taxation.
