Corporate Attorney Job Description

We are seeking an experienced corporate attorney with a strong background in IT services and consulting. The role involves providing legal guidance on corporate, commercial, and contractual matters, ensuring compliance, and supporting business operations with risk-mitigated solutions.

Main Responsibilities:

  • Drafting, reviewing, and negotiating commercial contracts, master service agreements (MSAs), statement of works (SOWs), non-disclosure agreements (NDAs), and vendor agreements is key to this position.
  • Providing legal advice on corporate governance, compliance, employment, and regulatory matters will help the business teams make informed decisions.
  • Supporting business teams in client negotiations and enabling smooth deal closures requires excellent communication and stakeholder management skills.
  • Ensuring compliance with data protection, IT laws, and international regulations such as GDPR and HIPAA is crucial.
  • Managing legal risks and proactively providing strategic advice to leadership is essential for the success of the organization.
  • Liaising with external counsel for litigation, arbitration, and dispute resolution is also required.
  • Supporting in drafting policies, processes, and compliance frameworks for global operations will be beneficial.
  • Conducting internal training and awareness sessions on compliance and legal best practices will enhance the team's knowledge.

Requirements:

  • An LLB/LLM from a recognized institution is necessary for this role.
  • A minimum of 5 years of post-qualification experience in corporate law, preferably in IT services or consulting organizations, is required.
  • Strong expertise in contract drafting and negotiation with international clients is essential.
  • Familiarity with data privacy, intellectual property, labor, and employment laws is necessary.
  • Excellent communication, stakeholder management, and problem-solving skills are required.
  • The ability to work independently in a fast-paced, global environment is also required.

Preferred Qualifications:

  • Experience in a mid-to-large IT services/consulting company is preferred.
  • Exposure to multi-jurisdictional contracts and cross-border legal issues is beneficial.
  • Membership in a Bar Council / Corporate Legal Association is a plus.
