Job Overview

Compliance and Corporate Governance Expertise
  • Cultivate a comprehensive understanding of regulatory compliance, corporate actions for M&A, investor servicing, AR and GM/Postal Ballots handling, policy reviews, and Insider Trading Regulation Compliance & Material Event Awareness.

As a seasoned professional with 7+ years of post-qualification business partnering experience, you will be responsible for providing strategic guidance to the board of directors on corporate governance best practices, organizing and preparing materials for board and committee meetings, and assisting in the development and implementation of corporate policies and procedures.

Key Responsibilities:

Compliance Management
  • Stay abreast of all relevant laws, regulations, and guidelines affecting company operations.
  • Develop, implement, and monitor compliance frameworks and procedures.
  • Conduct regular compliance audits and assessments to identify and address potential issues.
Corporate Governance
  • Provide strategic guidance to the board of directors on corporate governance best practices.
  • Organize and prepare materials for board and committee meetings.
  • Assist in the development and implementation of corporate policies and procedures.
Company Secretarial Functions
  • Ensure all statutory and regulatory filings are completed accurately and on time.
  • Maintain and update corporate records, including board minutes, resolutions, and other legal documents.
  • Facilitate communication between the board, management, and shareholders.
Risk Management
  • Identify and assess potential legal and compliance risks.
  • Develop and implement risk mitigation strategies.
  • Collaborate with other departments to ensure a comprehensive understanding of potential risks.
Training and Awareness
  • Conduct training sessions for employees on compliance-related matters.
  • Keep the team informed about changes in laws and regulations that may impact the business.
Qualifications and Skills
  • Certified Company Secretary
  • Minimum 7+ years of post-qualification business partnering experience.
  • Strong influencing skills & ability to work with Senior Leaders across functions.
