As a seasoned Non-Executive Director, you will spearhead strategic financial planning and transaction structuring for a pioneering healthcare consolidation platform.

Key Responsibilities:

  • Provide board-level oversight on valuation, deal structuring, and financial strategy to ensure alignment with the company's objectives.
  • Guide capital stack decisions: debt, equity, mezzanine, seller notes to optimize returns on investment.
  • Evaluate transaction terms: rollover equity, deferred consideration, earn-outs to minimize risk and maximize value.
  • Review quality of earnings, working capital adjustments, and SPA terms to ensure accuracy and transparency.
  • Support capital raising through deal memos, investor decks, and financial models to attract investors and secure funding.
  • Mentor founder on transaction execution and board-level governance to ensure effective leadership and decision-making.

Requirements:

  • Retired or semi-retired partner from a Big 4 accounting firm or equivalent transaction advisory role with expertise in M&A transactions.
  • Deep experience in healthcare M&A transactions, with familiarity with Indian hospital M&A or private capital markets a plus.
  • Prior board, investment committee, or fund-level experience is strongly preferred, with comfort mentoring and guiding a founder-led platform navigating complex deals.

Compensation:

  • FREE FOUNDERS' EQUITY: up to 5% equity based on time commitment and contribution.
  • Deal completion and performance-based bonuses to incentivize achievement of targets.
  • Director fees introduced once the platform becomes cash-flow positive to recognize contributions to the company's growth.
