Head of Deals Strategy and Execution

We are seeking an exceptional professional to lead our Transactions practice, shaping the growth of a value-driven platform by professionals for professionals.

This is an opportunity to step into a leadership role, drive standard operating procedures for post-deal advisory, and join our core leadership team.

Role Overview

The Head of Transaction Advisory will lead the department responsible for PMO services, IPO Advisory process integration, contracts, and legal compliance. This role demands strong expertise in deal structuring, regulatory compliance, and operational integration.

The ideal candidate will guide clients through the critical deal execution and post-closing phase, ensuring seamless transitions, synergy realization, and long-term value creation.

Key Responsibilities

  • Lead the drafting of transaction documents, completion of due diligence, and transaction negotiations.
  • Execute processes after deal closure, including capital structuring, funding drawdowns, and compliance.
  • Oversee integration of acquired businesses, financial systems, reporting, governance, risk management, and synergy tracking.
  • Manage separation and carve-out activities, shared services, asset transfers, and employee migration.

Financial Regulatory Management

  • Implement deal-related structures, SPA/SSA covenants, milestone-linked funding, and earnouts.
  • Ensure compliance with regulatory frameworks, Companies Act, FEMA, SEBI, RBI, tax regulations, and statutory requirements.
  • Support clients with closing balance sheet preparation, purchase price allocation, consolidation, and liaison with statutory auditors, tax advisors, and regulators.

Stakeholder Client Advisory

  • Act as a trusted advisor to boards, promoters, CFOs, and private equity investors on post-transaction strategy, providing clear communication and governance updates.
  • Manage cross-border coordination with legal, tax, and regulatory teams, ensuring smooth compliance post-deal.

Practice Leadership Team Management

  • Build and lead a multidisciplinary team of finance, accounting, tax, and process experts to deliver transaction execution services.
  • Drive standard operating procedures for post-deal advisory, ensuring consistency and quality, and mentor managers and associates.
  • Collaborate with other service lines, Tax, Valuation, Audit, Digital Finance, for integrated client solutions.

Business Development Thought Leadership

  • Develop service offerings in post-deal advisory and integration, contributing to proposals, client pitches, and relationship management with key accounts.
  • Represent the firm at industry forums, webinars, and regulatory discussions, promoting thought leadership and business development.

Key Skills Competencies

  • Deep expertise in M&A deal execution, post-deal integration, carve-outs, and restructuring.
  • Strong understanding of financial reporting, accounting standards, Ind AS, IFRS, tax structuring, and compliance frameworks.
  • Proven ability to lead negotiations, manage stakeholders, boards, promoters, PE funds, global investors, and hands-on experience with scenario analysis, synergy modelling, and performance tracking.
  • Excellent leadership, people management, and client relationship skills.

Qualifications Experience

  • 12+ years in M&A corporate finance or transaction advisory, Big 4 consulting, or corporate M&A leadership.
  • Chartered Accountant, CFA, MBA Finance, or related qualifications.
  • Track record of leading complex cross-border transactions and post-deal execution programs, with experience in automotive manufacturing, EV, or diversified industrials.
