Key Responsibilities

The primary goal of the Corporate Secretary is to oversee all corporate secretarial compliances, acting as a central point of contact for governance and compliance globally.

India Specific Compliances:
  • Ensure timely filing of statutory forms and documents with regulatory authorities in India.
  • Maintain and update company records according to Indian company law.
Board & Committee Meetings:
  • Prepare meeting notices and materials for Board meetings, Committee meetings, and Annual General Meetings.
  • Track resolutions passed at Board and Committee meetings.
Corporate Governance:
  • Advise on best practices in corporate governance and secretarial compliance under Indian laws.
  • Ensure compliance with Secretarial Standards issued by professional bodies.
Regulatory Adherence:
  • Monitor changes in relevant laws and advise management on their implications.
  • Ensure CSR regulation compliance, advise on CSR initiatives, and monitor implementation.
International Jurisdictions:
  • Coordinate with external consultants across international jurisdictions.
  • Oversee timely completion of corporate secretarial tasks in other countries.
Global Governance Consistency:
  • Work towards harmonizing global corporate governance practices.
  • Maintain a global overview of entities and applicable compliances.
