
Chief Corporate Secretary

The role holder will lead the corporate secretarial function for all companies in India, ensuring compliance with the Indian Companies Acts and other related rules and regulations.
Key responsibilities include working closely with the Managing Director and other directors to ensure smooth functioning of the Board of Directors, advising on company law matters, liaising with stakeholders, reviewing risk assessments, and revising company policies and processes.
- Report to the Board of Directors about compliance with provisions of the Companies Act and other laws applicable to the company
- Ensure that the company complies with applicable secretarial standards
- Maintain records of the company in compliance with all statutory and legal requirements through timely review and updating of such records.
- Administer, attend and prepare minutes of Board proceedings and ensure the timely preparation and dispatch of all Board papers to the Directors to facilitate the smooth conduct of its affairs
- Contribute to the planning and preparation for the Board Meetings, Various Committee meetings, Annual General meeting and other shareholder meetings from the perspective of specific points to be made to convey to the financial/ investment community information needed
- Apprise Board of Directors about shareholder grievances and redressal of same.
- Ensure that all filings required to be made with Stock Exchanges and Registrar of Companies are done in time
- Coordinate with the Group/lawyers on corporate legal aspects of Projects such as re-structuring
Required Skills and Qualifications:
- Strong communication - written and oral
- Language Skill - Fluency in English
- Proficient in MS office
- Strong inter personal skills
Knowledge, Skills Competencies:
- Company Law
- SEBI Regulations
- Conduct of Board meetings / AGM
- Corporate Governance regulations
Qualifications:
- Member of the Institute of Company Secretaries of India with a Law Degree
- At least years of work experience with substantial exposure to working in a listed company
- Pharmaceutical industry experience would be a good to have, open for other similar industry
