Role and Responsibilities:

  • Drafting, review, and negotiation of transaction documents such as Share Subscription Agreements (SSA), Share Purchase Agreements (SPA), Shareholders Agreement (SHA), Business Transfer Agreement (BTA), term sheet, etc.
  • Working on Private Equity/Venture Capital/Mergers & Acquisitions matters, including unlisted space experience and listed space experience such as open offers, delisting, etc.
  • End-to-end closing of transactions.
  • Strong understanding of corporate laws such as the Companies Act, 2013, SEBI laws (including LODR and PIT regulations) and foreign exchange laws.
  • Lead due diligence activities.
  • Effective communication with clients.
  • Picking up new areas of law and adapting to various work streams such as advisory, drafting, negotiations, and corporate litigation.
