About the Role:

  • Ensure the company's compliance with the Companies Act and other relevant laws.
  • Organize, attend, and record the minutes of board meetings and other corporate meetings.
  • Maintain and update the company's statutory records, including the register of shareholders, directors, minutes of the meetings, and other corporate documents.
  • E nsure proper and timely filing of statutory documents, such as annual returns, financial statements, and disclosures with government authorities.
  • Monitor changes in relevant legislation and the regulatory environment and update the company's policies accordingly.
  • Draft, review, and maintain all company secretarial documentation, including resolutions, minutes, and compliance certificates.
  • Manage the company's legal and corporate documents, such as contracts, licenses, and intellectual property filings.
  • Responsible for compliance with all applicable laws and ensure smooth and disruption-free operation of the company.
  • Liaise with external legal advisors to handle corporate legal matters and litigations.
  • Identify and report on legal risks to the organization and work with cross-functional teams to develop strategies for mitigating risks.
  • Advise on the company's policies regarding related party transactions, ethical conduct, anti-corruption laws, and corporate social responsibility.
  • Advise the board of directors and senior management on corporate governance practices, ethical conduct, and legal matters.

Requirements:

  • Prior experience in a similar role or in a related field is highly desirable.
  • Strong knowledge of the Companies Act and other relevant laws and regulations.
  • Excellent communication and interpersonal skills.
  • Able to work effectively in a team environment.
  • Ability to analyze complex information and make sound decisions.

Salary: ₹1,200,000 - ₹1,500,000 per annum (estimated). This salary estimate is based on industry standards for a Compliance Expert in India.
