Job Title: Senior Corporate Tax Advisory Professional

We are seeking a skilled and experienced corporate tax advisory professional to join our team.

  • Key responsibilities will include:
  1. Advising on structuring of deals from a tax perspective, including considerations under FEMA, domestic tax laws, DTAAs, stamp duty, and other allied laws.
  2. Drafting and reviewing deal documents, including term sheets, loan agreements, SPAs, disclosures, BTA, merger schemes, reps, and warranties.
  3. Assisting clients in conceptualizing deals with specific focus on India entry/exit strategy, favorable holding jurisdiction, tax efficiency, and commercial rationale.
  4. Providing advisory services on possible structuring through the IFSC Gift city.
  5. Coordinating with various stakeholders, including AD Banker.
  6. Conducting health checks and preparing due diligence reports.

International Tax and FEMA advisory-

  • Engaging in advisory assignments on international tax issues, including PE, profit attribution, business connection, expat tax, ESOPs, indirect transfer, POEM, capital repatriation, royalty, FTS, broadcasting rights, tax transparent entities, etc.
  • Carrying out effective tax rate (ETR) planning analysis for an Indian promoter-held group with 190+ entities.
  • Offering advisory services on FEMA and assisting in compounding applications.
  • Supporting clients in lower withholding applications, condonation applications, assessments, appeals at all levels, including engaging with senior counsels, preparing synopses, and briefing.
Required Skills and Qualifications
  • Strong understanding of corporate tax laws, FEMA regulations, and international tax treaties.
  • Excellent drafting and review skills for deal documents.
  • Ability to analyze complex tax structures and provide strategic advice.
  • Strong communication and stakeholder management skills.
  • Proficiency in MS Office, particularly Excel.
