The role of a Head of Compliance requires a seasoned professional with a deep understanding of corporate governance and regulatory compliance.

Key Responsibilities:
  • CORPORATE GOVERNANCE & BOARD SUPPORT: Provide strategic guidance to the board of directors on matters of corporate governance, ensuring efficient and ethical operations. Coordinate board and committee meetings, preparing agendas, and ensuring accurate minute-taking and timely follow-up on action items in accordance with applicable regulations.
  • REGULATORY COMPLIANCE: Ensure strict adherence to all relevant statutory and regulatory requirements, including laws and regulations governing listed entities.
  • ACQUISITION & INTEGRATION: Manage and integrate the compliance functions of newly acquired companies, ensuring a seamless transition.
  • RISK MANAGEMENT: Proactively identify, assess, and mitigate potential compliance risks across the organization, developing and implementing robust internal policies and procedures.
  • STATUTORY FILINGS: Oversee the preparation and timely filing of all regulatory documents and returns with authorities such as the Registrar of Companies (ROC) and the Ministry of Corporate Affairs (MCA).
  • RESPONDING TO REGULATORS: Ensure prompt resolution to queries / notices / summons issued by regulatory authorities and engage in discussions to resolve their queries.
  • INTERNAL AUDITS: Conduct regular internal audits and reviews to ensure continuous adherence to regulations and internal policies.

Required Qualifications & Skills

  • PROFESSIONAL QUALIFICATIONS: A mandatory qualified Company Secretary (CS). A Chartered Accountant (CA) qualification is highly desirable.
  • EXPERIENCE: Minimum of 10 years of experience in a senior compliance, corporate secretarial, or governance role, preferably in a listed company handling M&A compliance.
  • LEGAL & FINANCIAL KNOWLEDGE: In-depth knowledge of Indian corporate laws, financial regulations, accounting standards, and taxation.
  • REGULATORY EXPERTISE: Strong understanding of regulatory filings and procedures with authorities like the MCA and SEBI.
