Job Title: Governance and Compliance Specialist

We are seeking an experienced Governance and Compliance Specialist to join our team. The ideal candidate will have a strong background in corporate governance, compliance, and regulatory affairs.

  • Key Responsibilities:
  • Maintaining all company statutory documents and records.
  • Managing Board and Committee meetings, drafting agenda and resolutions, coordinating board meetings and post-meeting corporate filings, minutes etc.
  • Preparing agenda, drafting resolutions and recording minutes of Board meetings, Committee Meetings & Shareholders Meetings.
  • Monitoring changes in relevant legislation and regulatory environment and initiating appropriate action.
  • Drafting/alteration of Memorandum and Articles of Association and Shareholder agreement.
  • Managing depository related activities for company's equity and debt instruments.
  • Handling RBI compliance including compliance applicable to FOCC.
  • Issuance and Listing of Debt Securities through EBP platform.

The Company Secretary will be responsible for ensuring compliance with the provisions of the Companies Act, 2013 and SEBI Regulations.

Qualifications and Skills:

  • Well-versed in the Companies Act, 2013 and SEBI Regulations, including SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 and SEBI (Prohibition of Insider Trading) Regulations.
  • Knowledge of SEBI (Infrastructure Investment Trusts) Regulations, 2014 is an added advantage.
  • Ability to interpret and analyze legal provisions.
