Job Title: Corporate Governance Specialist

About the Role:

We are seeking a highly skilled Corporate Governance Specialist to join our team at InCorp Advisory Services Pvt Limited. As a key member of our secretarial services team, you will play a pivotal role in ensuring legal and regulatory compliance, maintaining corporate governance standards, and supporting the board of directors.

Key Responsibilities:

  • Assisting in matters related to Corporate Law and Secretarial practices, such as organizing meetings, drafting agendas, and preparing board resolutions.
  • Ensuring the company's compliance with laws, regulations, policies, and procedures by regularly reviewing and monitoring domestic companies, including subsidiaries of foreign entities and IFSC entities.
  • Handling the formation of companies, foreign subsidiaries, LLPs, as well as the conversion of LLPs/companies into IFSC entities.
  • Acting as an authorized representative to file and register documents on behalf of the company.
  • Monitoring applicable regulations and laws for any changes that may impact the organization, analysing and interpreting them, and providing advice on developing company practices to ensure ongoing compliance.
  • Conducting board meetings, including preparing presentations, agendas, and taking minutes of both board and general meetings.
  • Maintaining and periodically updating books and registers, including statutory books, the Register of Members, and Directors.
  • Handling legal due diligence and documentation for fundraising activities, including drafting term sheets, shareholder agreements, and other related documents.
  • Providing insights on various provisions of the Companies Act, including exemptions and relaxations specifically applicable to IFSC entities.
  • Liaising with clients, including foreign clients, to resolve queries and provide a clear understanding of various laws and their implications, including any amendments relevant to the concerned laws.
  • Ensuring compliance with secretarial standards issued by the Institute of Company Secretaries of India (ICSI) and approved by the Central Government of India, along with the Department of Knowledge under the Companies Act 2013.

Requirements:

  • Qualified Company Secretary.
  • 2-8 years of relevant experience in company secretarial, legal, or compliance roles, handling the formation of companies, foreign subsidiaries, LLPs, as well as the conversion of LLPs/companies into IFSC entities.
  • Strong knowledge of corporate governance principles, regulations, and best practices.
  • Excellent communication and interpersonal skills, with the ability to liaise effectively with stakeholders at all levels.
