We are seeking a highly skilled Corporate Governance Specialist to join our team at Mantra Softech. As a key member of our legal department, you will be responsible for ensuring the company's compliance with financial and legal requirements, upholding high standards of corporate governance, and providing necessary legal advice.
Key Responsibilities:
- Meeting Management: Prepare notices, agendas, and notes for Board Meetings, Committee Meetings, and General Meetings.
- Documentation: Draft and maintain minutes for Board Meetings, Committee Meetings, and General Meetings, as well as statutory registers and records.
- Compliance Reporting: Prepare Directors' Reports and Annual Reports; file necessary forms with ROC/MCA and RBI.
- Investor Relations: Ensure the investor page on the company's website is updated regularly and accurately.
- Regulatory Compliance: Ensure compliance with the Companies Act and Secretarial Standards, including the preparation and vetting of required policies.
- Legal Updates: Keep the company informed of regulatory changes and amendments, particularly in the Companies Act, 2013, and their impact on the company.
- Contract Management: Vet and prepare various agreements, including Non-Disclosure Agreements, Commercial Agreements, Partner Agreements, Joint Venture Agreements, Lease Agreements, and Sales Agreements.
- Coordination: Collaborate with colleagues and consultants, including Chartered Accountants, Company Secretaries, Lawyers, and other officers.
Requirements:
- Strong administrative skills with a keen eye for detail.
- Commercial awareness and understanding of the business environment.
- Excellent interpersonal and influencing skills.
- Effective organization and time management abilities.
- Initiative and a proactive approach to work.
- Flexibility, practicality, discretion, and diplomacy in handling sensitive matters.
Qualifications and Experience:
- Educational Background: Completion of the Company Secretary (CS) course.
- Candidates with an additional LLB degree will be given preference.
- Experience: 1-3 years of experience in a corporate environment or a firm of practising Company Secretaries.
