Our organization is seeking an experienced and highly skilled individual to fill the role of Head of Compliance. This position involves overseeing all compliance functions, with a strong focus on corporate governance, risk management, and statutory filings.

Key Responsibilities

  • Corporate Governance & Board Support: Advise the board of directors on all matters of corporate governance, ensuring efficient and ethical operations. Facilitate board and committee meetings, preparing agendas, and ensuring accurate minute-taking and timely follow-up on action items in accordance with applicable guidelines
  • Regulatory Compliance: Ensure strict adherence to all relevant statutory and regulatory requirements, including laws applicable to listed companies
  • Risk Management: Proactively identify, assess, and mitigate potential compliance risks across the organization, developing and implementing robust internal policies and procedures.
  • Statutory Filings: Oversee the preparation and timely filing of all regulatory documents and returns with authorities for listed entities and all subsidiary entities.
  • Responding to Regulators: Ensuring prompt resolution to queries / notices / summons issued by regulatory authorities and engaging in discussions to resolve their queries.
  • Internal Audits: Conduct regular internal audits and reviews to ensure continuous adherence to regulations and internal policies.

Required Qualifications & Skills

  • Professional Qualifications: A mandatory qualified Company Secretary (CS). A Chartered Accountant (CA) qualification is a strong advantage.
  • Experience: Minimum of 10 years of experience in a senior compliance, corporate secretarial, or governance role. Must have experience working in a listed company and handling M&A compliance.
  • Legal & Financial Knowledge: In-depth knowledge of Indian corporate laws, financial regulations, accounting standards, and taxation.
  • Regulatory Expertise: Strong understanding of regulatory filings and procedures with authorities like the Ministry of Corporate Affairs (MCA), Registrar of Companies (ROC), SEBI, and RBI.
