Job Title: Compliance Officer

Mandatory qualified Company Secretary (CS) with a strong advantage in Chartered Accountant (CA) qualification.

We are seeking an experienced and highly skilled professional to oversee all compliance functions, focusing on corporate governance, risk management, and statutory filings. Key responsibilities include advising the board of directors on corporate governance, ensuring efficient and ethical operations. Additionally, ensure strict adherence to statutory and regulatory requirements, manage and integrate compliance functions, and proactively identify and mitigate potential risks.

Key Responsibilities:

  • Corporate Governance & Board Support: Advise the board of directors on matters of corporate governance and facilitate board meetings, preparing agendas, and ensuring accurate minute-taking and timely follow-up.
  • Regulatory Compliance: Ensure adherence to all relevant statutory and regulatory requirements, including the Companies Act and SEBI regulations.
  • Acquisition & Integration: Manage and integrate compliance functions of newly acquired companies.
  • Risk Management: Identify, assess, and mitigate potential compliance risks across the organization.
  • Statutory Filings: Oversee the preparation and timely filing of regulatory documents and returns with authorities.
  • Responding to Regulators: Ensure prompt resolution to queries / notices / summons issued by regulatory authorities.
  • Internal Audits: Conduct regular internal audits and reviews to ensure continuous adherence to regulations and internal policies.

Required Qualifications & Skills:

  • Professional Qualifications: Mandatory qualified Company Secretary (CS). A Chartered Accountant (CA) qualification is a strong advantage.
  • Experience: Minimum of 10 years of experience in a senior compliance, corporate secretarial, or governance role. Must have experience working in a listed company and handling M&A compliance.
  • Legal & Financial Knowledge: In-depth knowledge of Indian corporate laws, financial regulations, accounting standards, and taxation.
  • Regulatory Expertise: Strong understanding of regulatory filings and procedures with authorities like the MCA, ROC, SEBI, and RBI.
