Job Description

We are seeking an experienced Corporate Governance Specialist to join our organization. The successful candidate will be responsible for ensuring compliance with regulatory requirements, maintaining accurate records, and providing expert advice on legal and financial matters.

Key Responsibilities:
  • Preparation of Meeting Materials: Prepare agendas, papers, and follow up on action points for board meetings, committees, and annual general meetings (AGMs).
  • Meeting Coordination: Convene and service AGMs, take minutes, draft resolutions, and lodge required forms and annual returns with appropriate departments.
  • Advice and Guidance: Provide legal, financial, and/or strategic advice during and outside of meetings.
  • Policy Updates: Ensure policies, regulatory, or statutory changes that might affect the organization are up to date and approved by the committee.
  • Record Maintenance: Maintain statutory books, including registers of members, directors, and secretaries.
  • Communication: Handle correspondence, collate information, write reports and communicate decisions to relevant stakeholders.
  • Liaison: Liaise with external regulators and advisers such as lawyers and auditors.
  • Process Implementation: Implement processes or systems to ensure good management of the organization.
  • Compliance Oversight: Develop and oversee the systems that ensure the company complies with all applicable codes, in addition to its legal and statutory requirements.
  • Dividend Payments: Manage dividend payments to shareholders and share option schemes opted by various shareholders.
  • Mergers and Acquisitions: Take an active role and provide valuable input to the management decisions related to sharing issues, mergers, and takeovers.
  • Pension Scheme Administration: Monitor the administration of the company's pension scheme.
  • Contract Management: Manage contractual agreements with suppliers and customers.
  • Office Administration: Manage the office space and deal with personnel administration and staff insurance policies.
Desired Candidate Profile:
  • Minimum of 10 years experience post CS qualification.
