Direct Tax Associate

We are seeking an experienced professional to join our team in the direct tax practice area.

  • Job Responsibilities:
  • Structuring and advisory on deals from a tax perspective, including foreign exchange control, FEMA, domestic tax law, DTAAs, stamp duty, and other allied laws.
  • Drafting and reviewing deal documents, including term sheets, loan agreements, SPAs, disclosures, BTA, merger scheme, reps, and warranties.
  • Handholding clients in conceptualizing deals, focusing on India entry/exit strategy, favorable holding jurisdiction, tax efficiency, and commercial rationale.
  • Advisory on possible structuring through the IFSC Gift City.
  • Front-ending/liaising with various stakeholders, including AD Bankers.
  • Undertaking health checks and preparing due diligence reports.

International Tax and FEMA Advisory:

  • Providing advisory services on international tax issues, including PE, profit attribution, business connection, expat tax, ESOPs, indirect transfer, POEM, capital repatriation, royalty, FTS, broadcasting rights, and tax transparent entities.
  • Conducting effective tax rate (ETR) planning analysis for Indian promoter-held groups with 190+ entities.
  • Advising on FEMA and assisting with compounding applications.
  • Assisting with lower withholding applications, condonation applications, assessments, appeals at all levels, and engaging with Senior Counsels, preparing synopsis and briefing.

Required Skills and Qualifications:

  • 0-3 years of experience in direct tax.
  • Background in CA/LLB.
