Compliance and Governance Manager - AIF/PMS/Fixed Income

The Compliance Manager will be responsible for ensuring compliance with various regulatory bodies such as the IFSCA, SEZ and SEBI AIF, Ancillary Services, PMS Guidelines and Regulations, FEMA, Anti Money Laundering laws and assisting on KYC requirements under the legislations.

  • Key Responsibilities:
  • Ensure secretarial compliances under the Companies Act, 2013 and other statutes, regulations and guidelines.
  • Develop good corporate governance practices for companies.
  • Maintenance of secretarial records, statutory books and registers.
  • Handling statutory & internal audits.
  • Respond to inspections, regulatory and audit queries.
  • Prepare, file and register forms, returns, applications or other documentation with regulatory authorities.
  • Handle special assignments related to business initiatives impacting compliance and legal affairs.
  • Implement compliance policies and procedures.
  • Conduct compliance training for employees.
  • Draft, review, negotiate, execute contracts, Non-Disclosure Agreements, Master Service Agreements, Statement of Works, Licensing Agreements and other legal documents.
  • Draft and standardize all legal documents of business and other documents relating to the company.
  • Provide legal solutions/remedies to business teams to mitigate risk involved in business transactions.
Requirements:
  • Extensive knowledge of regulatory frameworks and legislation.
  • Proven experience in compliance management.
  • Excellent analytical and problem-solving skills.
  • Strong communication and interpersonal skills.
  • Ability to work in a fast-paced environment.
  • Proficiency in Microsoft Office.
