Corporate Governance Officer

We are seeking a highly skilled Corporate Governance Officer to join our team. This is a full-time on-site role based in Hubballi.

The successful candidate will be responsible for ensuring compliance with statutory and regulatory requirements, maintaining the company's statutory registers, managing board meetings, preparing minutes of meetings, and handling corporate governance matters.

About the Role
  • Ensure compliance with all applicable laws, regulations, and internal policies.
  • Keep the board updated on legislative changes and governance best practices.
  • Organize board and committee meetings, prepare agendas, take accurate minutes, and maintain proper records.
  • Handle statutory filings, annual returns, and ensure alignment with the Companies Act and other regulations.
  • Maintain statutory registers and safeguard legal documents like Articles of Association and corporate seals.
  • Act as the communication bridge between the board, shareholders, and external authorities.
  • Support in identifying legal risks, ensure adherence to internal compliance policies, and uphold data protection standards.
  • Review, manage, and archive all legal contracts and agreements.
  • Provide legal and compliance advice to the board and ensure directors are informed of their duties and legal responsibilities.
Requirements
  • Bachelor's degree in Law, Business Administration, or a related field.
  • Professional certification issued by The Institute of Company Secretaries of India.
  • Fresher or Experienced.
