We develop next-generation battery technologies at our state-of-the-art R&D Innovation Hubs in India and the UK. JOB SUMMARY This is a senior strategic compliance role. As Compliance Officer, the role is responsible for leading the compliance function at Agratas, including managing the compliance team and developing a comprehensive compliance program aligned with the company’s operations and regulatory landscape. The role involves proactively identifying and mitigating compliance risks, ensuring adherence to all applicable laws, regulations, and internal policies. It requires strong leadership, strategic thinking, and the ability to engage effectively with internal and external stakeholders—including regulators, internal or external auditors, and senior management—to maintain a culture of integrity and accountability. The Compliance Officer will have direct interactions with the Executive Committee, Audit Committee, and Board, and will play a key role in shaping the company’s governance and risk posture. The ideal candidate will be responsible for ensuring the company, its management, and its employees are in strict compliance with all applicable laws, regulations, and internal policies anti-corruption ( UK Bribery Act , FCPA , India Anti-Bribery & Corruption laws), and workplace laws ( FLSA , FMLA , OSHA) Anti-Money Laundering (FATF or other applicable AML regulations) and ESG standards. RESPONSIBILITIES: Foundational Regulatory Compliance: Develop, implement, and maintain a robust compliance management system to ensure adherence to all applicable laws for a corporate and manufacturing entities in India, UK and US, including but not limited internal policies related to AML, Sponsorship, Gift & Hospitality Policy, Code of Conduct, Export & Control and Regulatory Factories Act, Labour Laws, Environmental Protection laws, etc. Create and manage a regulatory compliance calendar to track and ensure timely filings, renewals, and reporting to various government bodies. This will be done with the support of GRC tool. Support the internal stakeholders including government affairs team in liaising with regulatory authorities, government agencies, and external counsel as required. You conduct regular assessments and audits to evaluate compliance effectiveness and identify areas for improvement and mitigating controls. Monitor and analyze regulatory changes and their impact on the Company. Prepare and present compliance reports to senior management and the board. Corporate Governance & Ethics: Anti-Bribery and Corruption (ABC): Develop and enforce a comprehensive ABC and Code of Conduct policy, conduct risk assessments, manage third-party due diligence, and deliver regular training. Anti-Money Laundering (AML): Establish and maintain internal AML policies, implement KYC/CDD principles for high-value transactions, and monitor for suspicious activities. Whistleblower Policy Management: Establish, manage, and promote a secure and confidential whistleblower mechanism for reporting violations of laws or company policies, and oversee the investigation process. Support the investigation process . Environmental, Social, and Governance (ESG) Compliance: Oversee the company's adherence to ESG-related laws, regulations, and standards. Work with relevant departments to monitor and improve performance on key ESG metrics. Ensure compliance with Corporate Social Responsibility (CSR) provisions under the Companies Act, 2013, including governance, spending, and reporting. Trainings Design and deliver a dynamic and ongoing training program for all employees to foster a culture of integrity and compliance. Team Leadership: Manage and mentor the Compliance teams, fostering a culture of accountability and continuous improvement. Conduct training sessions to enhance the skills of the compliance teams. Stakeholder Engagement: Serve as the primary liaison for compliance related matters with senior management, the board, and external stakeholders. Collaborate with various departments to integrate Compliance internal policies into business operations. Provide expert compliance risk mitigation strategies. Continuous Improvement: Stay abreast of industry trends, regulatory changes, and best practices in Compliance management. Implement GRC and other technology solutions to enhance efficiency in compliance monitoring and implementation program Lead initiatives to promote a strong Compliance within the organization. Knowledge, Skills and Experience Essential: 16-20 years of proven experience in a multi-faceted corporate compliance role within a large-scale manufacturing company. In-depth Knowledge: Expert understanding of the Indian and global legal landscape: Corporate Laws & Regulations, FEMA, Labour Laws, Environmental Laws, Anti-Bribery & Corruption, Export Control, AML Experience in handling regulatory inspections, investigations from a compliance perspective. Analytical Skills: Excellent analytical and problem-solving skills with meticulous attention to detail. Integrity & Discretion: Unquestionable professional ethics, integrity, and the ability to handle sensitive information with complete confidentiality. Communication : Strong written and verbal communication skills, with the ability to translate complex legal concepts into practical business advice. Interpersonal Skills: Proven ability to work collaboratively across departments and influence senior stakeholders. Desired: Familiarity with GRC (Governance, Risk, and Compliance) software and platforms. Experience in financial services, manufacturing, or large-scale organizations is a plus. Role Specific Qualifications/Certifications Bachelor’s in Engineering, MBA Finance from premium institutes, Company Secretary with relevant certification (e.g., CCEP, CRCM or GRC Professional) preferred.
