Role OverviewThe Legal & Compliance Manager will be responsible for overseeing end-to-end legal operations across India and US entities. This critical business-enabling role involves managing contract administration, compliance governance, notice handling, external counsel coordination, and ensuring seamless cross-border operations.Key Responsibilities:Entity Compliance (India, US & NZ):(Liaise with US registered agents and advisors for Delaware franchise filings, annual reports, and state compliance)Maintain a master compliance calendar across all three entitiesContract Management:Draft, vet, and negotiate SaaS Agreements, MSAs, NDAs, Channel Partner Agreements, Vendor Contracts, and Consulting AgreementsSupport the Sales and Finance teams with customer contract reviews, renewals, and compliance with ASC 606 / GDPR / data-protection obligationsMaintain a contract repository, track renewals, and ensure timely renewals of customer and vendor contractsDevelop internal contract playbooks and templates for repeatable useLegal Coordination & Advisory:Work with external counsel (India / US / NZ) for litigation, IP protection, employment law, and data-privacy mattersProvide legal inputs to internal stakeholders on business decisions, pricing models, and new market entryGovernance & Internal Policies:Draft, review, and update internal policies – Code of Conduct, Anti-Bribery, Data Protection, Vendor Onboarding, and Employment policiesMaintain documentation trails and version control for all legal and policy documentsBuild scalable frameworks for risk management and contractual governanceQualifications:LLB / BL from a reputed university; LLM or CS background preferred5–7 years of post-qualification experience with exposure to SaaS / Tech / IT sectorsProven experience in managing India + US entity compliance, contract negotiation, and regulatory liaisonExcellent drafting, analytical, and interpersonal skillsFamiliarity with SaaS legal aspects such as subscription models, data processing agreements, and reseller contractsBenefits:Be part of a high-growth global company transforming IT operationsWork directly with leadership teams across geographiesBuild scalable legal processes from the ground up in a cross-border setupExposure to international contracts, venture funding documentation, and compliance governance
