Customer Contracts

  • Candidate should be able to independently review and negotiate the IT contracts pertaining to Americas (US, Canada, LATAM)
  • Candidate will have to review procurement side contracts mostly but may have exposure to customer side contracts as well.
  • . Candidates will have to work on contracts with customers, subcontractors, vendors & alliance partners, based globally.
  • Review and negotiation of Master Services Agreements, SOWs, Partner Agreements, Reseller Agreements, Teaming Agreements, Rainmaker Agreements.
  • Co-ordinate with procurement, business and delivery functions for closure of transactions.
  • Co-ordinate with other legal team members
  • Prepare monthly report on transactions received in particular month

The role also involves monthly cadence reporting & meetings with the management, conducting presentations & trainings as may be required and legal projects on a case-by-case basis (assigned by the Senior Legal Counsels in the team)

Inter-personal competencies

  • Identifying contractual, commercial and operational risks and exposures in contracts;
  • Providing inputs/mark-up on contracts to negate contractual, commercial and operational risks and exposures;
  • Working with internal and external clients to structure, prepare, negotiate and finalize agreements, letters of intent, commercial proposals, etc.;
  • Major Experience in Contract Negotiation is required
  • Review and Negotiate Customer Agreements
  • Providing legal support for ongoing contract management related activities; Working in close co-ordination with external legal counsel;
  • Participate in discussions with internal stakeholders, external counsels and advisors during the entire contracting process;
  • Manage and give guidance to junior lawyers;
  • Experience in negotiating IT Outsourcing contracts and other types of IT contracts with customers.
